Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Ostiarius, PLLC d/b/a Aranafy (“Company,” “we,” “us,” or “our”) governing your use of our platform, website, and related services (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Services.

1. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

Business Associate Agreement (“BAA”) – A written agreement between Aranafy and Covered Entities as required under HIPAA, outlining the responsibilities for safeguarding Protected Health Information (PHI).
Covered Entity – A health plan, healthcare clearinghouse, or healthcare provider that transmits health information electronically in connection with HIPAA-covered transactions.
HIPAA – The Health Insurance Portability and Accountability Act of 1996, which establishes national standards for protecting sensitive patient health information.
PHI (Protected Health Information) – Any individually identifiable health information held or transmitted by Aranafy on behalf of a User, including medical records, patient history, and other health-related data.
Services – The software, website, platform, and related functionalities provided by Aranafy.
General User – Any individual or entity that accesses or utilizes Aranafy’s Services, except Oral and Maxillofacial Radiology, according to Aranafy Organization Types.
Oral and Maxillofacial Radiology User – Any individual or entity that accesses or utilizes Aranafy’s Services, including but not limited to dental specialists in Oral and Maxillofacial Radiologist(s), Oral & Maxillofacial Radiologist(s), Oral Radiologist(s), Dental Radiologist(s), Dento-Maxillofacial Radiologist(s), Maxillofacial Radiologist(s), Oral and Maxillofacial Imaging Specialist(s), and Oral & Maxillofacial Imaging Specialist(s).

2. ACCEPTANCE OF TERMS

By registering for or using Aranafy, you affirm that you are at least 18 years old and legally capable of entering into a binding contract. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. SERVICES PROVIDED

Aranafy is a cloud-based Software-as-a-Service (SaaS) platform that facilitates a dental practice management tool that allows for downloadable and recorded software facilitating collaboration among professionals in the fields of dentistry and orthodontia; downloadable and recorded file sharing software; Downloadable and recorded software for use in the dental field; downloadable and recorded workflow management software; downloadable and recorded software for requesting professional interpretation of oral and maxillofacial imagery; downloadable and recorded software for requesting and tracking manufacture and delivery of dental prosthetics and appliances. We reserve the right to modify or discontinue any portion of the Services at our sole discretion.

4. USER ACCOUNTS

4.1 Registration – To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process.

4.2 Account Security – You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify us immediately of any unauthorized use of your account.

4.3 Account Termination – We reserve the right to suspend or terminate your account at our discretion if you violate these Terms.

5. SUBSCRIPTION AND PAYMENT TERMS

5.1 Subscription Model – Aranafy operates on a freemium model with subscription-based upgrade options that apply to General Users. It allows users access to essential features for free while offering premium enhancements through tiered plans. The free version provides core functionalities to engage users, while our paid subscriptions unlock advanced tools and increased usage limits. This enables users to experience the platform’s value before committing to a subscription. Subscriptions will include flat rate and tiered pricing options. Subscription details, including fees, billing cycles, and payment methods, will be disclosed at the time of purchase.

5.2 Transaction Model – Aranafy operates on a transaction-based model for Oral and Maxillofacial Radiology Users. Transactional details, including fees and payment methods, will be disclosed at the time of purchase.

5.2 Pricing – Pricing is designed to be flexible, with tiered subscription plans catered to a user’s particular needs. We will strive to maintain competitive and transparent pricing. Rates may be adjusted over time based on market conditions, operational costs, and enhancements. Changes to pricing will be communicated to the user in advance, ensuring users have ample time to review and adjust their subscriptions accordingly.

5.2 Payment Obligations – You agree to pay all applicable fees according to the agreed terms. If a change to the tiered subscription pricing occurs, and you do not modify your subscription(s), you will be charged at the currently selected tier’s new pricing structure. Failure to make timely payments may result in suspension or termination of access to the Services.

5.3 Refund Policy – Unless otherwise stated, all fees paid are non-refundable.

6. ACCEPTABLE USE POLICY

You agree not to:

Use the Services for any illegal, fraudulent, or unauthorized activities;
Interfere with or disrupt the functionality of the Services;
Reverse-engineer, copy, distribute, disassemble, or create derivative works or exploit any part of the Services without authorization;
Circumvent any security features;
Transmit viruses, spam, or malicious software through the Services.

Violation of this section may result in immediate suspension or termination of your account. Aranafy may also take legal action against You to protect its interests if such a violation occurs and harms Aranafy.

7. DATA PRIVACY AND SECURITY

7.1 Data Collection – We collect and process personal and business data in accordance with our Privacy Policy.

7.2 Confidentiality – We implement industry-standard security measures to protect user data; however, we do not guarantee absolute security.

7.3 User Responsibility – You are responsible for maintaining the confidentiality of your own data and complying with applicable data protection laws.

8. HIPPA COMPLIANCE AND BUSINESS ASSOCIATE AGREEMENT

8.1 HIPAA Compliance – Aranafy acknowledges that it may receive, process, or store PHI on behalf of its Users. As such, we agree to comply with applicable provisions of HIPAA and its implementing regulations.

8.2 Business Associate Agreement (“BAA”) – To the extent that Aranafy qualifies as a Business Associate under HIPAA, we agree to enter into a Business Associate Agreement with Covered Entities utilizing our Services to ensure compliance with HIPAA regulations. The BAA outlines our responsibilities for safeguarding PHI and ensuring its confidentiality and integrity.

8.3 User Responsibility for HIPAA Compliance – While we implement security measures to protect PHI, Users are responsible for ensuring that their use of the Services complies with HIPAA and other applicable laws. Users must implement appropriate administrative, physical, and technical safeguards when handling PHI.

8.4 Limitation of Liability for HIPAA Claims – Aranafy shall not be liable for any claims, damages, or penalties arising from a User’s failure to comply with HIPAA requirements. Users agree to indemnify and hold Aranafy harmless from any such claims or regulatory actions related to their use of the Services.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Ownership – Aranafy, including all associated copyrights, trademarks, content, and software, remains the exclusive property of the Company.

9.2 License Grant – Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services.

10. SERVICE AVAILABILITY AND MODIFICATIONS

10.1 Availability – While we strive for uninterrupted service, we do not guarantee uptime or error-free functionality.

10.2 Modifications – We reserve the right to modify or discontinue the Services, in whole or in part, at any time with or without notice.

11. TERMINATION

11.1 Termination by Company – We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion.

11.2 Termination by User – You may cancel your subscription at any time. No refunds will be issued for prepaid fees unless required by law.

12. DISCLAIMER AND LIMITATION OF LIABILITY

12.1 No Warranties – The Services are provided “as is” and “as available” without warranties of any kind, either express or implied.

12.2 Limitation of Liability – To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law – These Terms shall be governed by the laws of Idaho.

13.2 Dispute Resolution – Any disputes may be resolved through binding arbitration in Idaho or in a court of competent jurisdiction if agreed upon by both parties.

14. CHANGES TO TERMS

We may update these Terms at any time. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
